Job Summary
The Director, M&A will be responsible for the identification, structuring and execution of acquisitions of new projects or divestures of select existing projects to enhance the Company's existing development pipeline and growth. The position will require close collaboration with other functional groups such as development, commercial, finance, legal, technical and construction. The ideal candidate will have experience in renewable energy project finance or investments coming from a renewable energy developer/IPP, renewables investment bank, or private equity fund.
Responsibilities
- Source, screen and evaluate acquisition and divestment opportunities, performing initial underwriting valuations and due diligence in the context of corporate goals and growth ambitions
- Manage the project acquisition and divestiture process: lead the origination, screening, valuation, bid structuring, due diligence, negotiation, and closing
- Work with functional teams to ensure conformance with diligence guidelines, investment metrics and forecasted project cash flows
- Prepare detailed acquisition and divestment investment cases and present recommendations to leadership team and investors
- Lead, train and mentor a team of junior professionals in their execution of financial modeling, transaction screening and process management
- Create and manage deliverables and tools to track transaction pipeline, origination activity, and identify targets and areas for growth
- Coordinate with third-party consultants and vendors to perform due diligence activities
- Coordinate with broader finance team to develop relationships with key financing and advisory parties
- Assist with ongoing efforts to improve financial underwriting, deal tracking, and other related duties as required
- Represent the company at industry association meetings to advance opportunities and gather market intelligence
Location: Houston Office preferred, or Hybrid working may be acceptable for this role and will be looked at on a case by case basis. Position may require periodic travel for team meetings, events or determined on an as needed basis.

Requirements
- Bachelor's degree in Finance, Business Administration, or a related field; MBA or advanced degree preferred
- 6+ years of relevant work experience at a U.S. solar, wind, or energy storage development company, or Independent Power Producer in an M&A or finance role with specific focus on financial modeling and valuation, or similarly transferable experience from an investment banking or private equity firm
- Hands-on transaction experience on U.S. renewable energy project acquisitions and divestments, including leading financial analysis and due diligence
- Understanding of tax-equity and investment tax credit transfer structuring
- Familiarity with transaction documentation is highly preferred
- A motivated self-starter with strong problem-solving and communication skills
- Strong quantitative skills are a requirement for this role, demonstrated by ability to conduct analytical and financial modeling with high attention to detail
- Advanced capabilities in Excel and PowerPoint are essential
- Ability to manage multiple projects and teams, summarize complex issues and identify actions and next steps
